The following is not an attempt to present all you need to know when forming a corporation in Alabama but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

Alabama corporation name:
An Alabama corporation’s name must contain the word "corporation" or "incorporated", or an abbreviation thereof, or if it is a banking corporation, the word “bank”, “banking”, or bankers”. Subject to certain exceptions, the name cannot be the same as, or deceptively similar to, the names of any other entities organized or authorized to transact business in Alabama as well as names reserved or registered in accordance with the state’s laws. The name cannot contain language that states or implies that the corporation is organized for a purpose other than that permitted by its articles of incorporation.
Alabama corporation board of directors:
An Alabama corporation shall have one or more directors as specified in, or fixed in accordance with, the articles of incorporation or bylaws. A director shall be a natural person at least 19 years old but does not have to be a resident of Alabama or a shareholder of the corporation unless the articles of incorporation or bylaws so prescribe. The articles of incorporation or bylaws may prescribe qualifications for directors.
Alabama corporation officers:
An Alabama corporation shall have the officers described in its bylaws or appointed by the board of directors in accordance with the bylaws. If authorized by the bylaws or the board of directors, a duly appointed officer may appoint one or more officers or assistant officers. The bylaws or the board of directors shall delegate to one of the officers responsibility for preparing minutes of shareholders' meetings and directors’ meetings and for authenticating the corporation’s records. The same person may simultaneously hold more than one office in an Alabama corporation unless the bylaws provide otherwise.
Alabama corporation shareholders’ and directors’ meetings:
Alabama corporations shall hold annual shareholders’ meetings at a time stated in, or fixed in accordance with, the bylaws. Annual shareholders' meetings may be held in or out of Alabama at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, annual shareholders’ meetings shall be held at the principal office of the corporation. Special shareholders’ meetings may be held on call of its board of directors or the person or persons authorized to do so by the articles of incorporation or bylaws; or, as set forth in Alabama law, upon the demand of the holders of at least 10 percent of all the votes entitled to be cast at said meeting. Special shareholders' meetings may be held in or out of Alabama at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, special shareholders’ meetings shall be held at the principal office of the corporation.
Regular board of directors’ meetings may be held with or without notice as prescribed in the bylaws. Special board of directors’ meetings must be preceded by at least two days' notice of the date, time, and place of the meeting unless the articles of incorporation or bylaws provide for a longer or shorter period. Board of directors’ meetings may be held in or out of Alabama.
