Incorporating in Arkansas

The following is not an attempt to present all you need to know when forming a corporation in Arkansas but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.
The information herein is cited from the Arkansas Secretary of State web site and Arkansas Code. Arkansas corporation name:
An Arkansas corporation’s name must contain the word "corporation," "incorporated," or "company," or an abbreviation thereof and cannot imply it was organized for a purpose other than that set forth in the articles of incorporation. In addition, the name must be distinguishable from the names of all other entities on record.
Arkansas corporation board of directors:
An Arkansas corporation with three or more shareholders must have at least three directors while those corporations with fewer than three shareholders need have only at least as many directors as shareholders. Subject to this limitation, the exact number of directors shall be fixed by approval of the board of directors or the shareholders as provided in the bylaws except that the number constituting the initial board of directors shall be fixed by the articles of incorporation. In the absence of a bylaw fixing the exact number of directors, the number shall be the same as that fixed in the articles of incorporation. Members of the first board of directors shall hold office until the first annual shareholders’ meeting and until their successors shall have been elected and qualified. At the first and subsequent annual shareholders’ meeting, shareholders shall elect directors to hold office until the next annual shareholders’ meeting.
The articles of incorporation or bylaws may prescribe qualifications for directors. Unless required by the articles of incorporation or bylaws, directors need not be residents of Arkansas or shareholders of the corporation.
Arkansas corporation officers:
The officers of an Arkansas corporation shall consist of a president, one or more vice presidents, a secretary, and a treasurer, each of whom shall be elected by the board of directors as prescribed by the bylaws. Other officers, assistant officers and agents may be elected or appointed by the board of directors or chosen as may be prescribed by the bylaws.
The same person may simultaneously hold two or more offices except for the offices of president and secretary; provided, however, the same person may hold the offices of president and secretary if one stockholder holds 100% of the corporation’s voting stock.
Arkansas corporation shareholders’ and directors’ meetings:
Arkansas corporations shall hold annual shareholders’ meetings at a time stated in or fixed in accordance with the bylaws. Annual shareholders' meetings may be held in or out of Arkansas at the place stated in or fixed in accordance with the bylaws. If no place is stated in or fixed in accordance with the bylaws, annual shareholders’ meetings shall be held at the principal office of the corporation. Special shareholders’ meetings may be held on call of the board of directors or the person(s) authorized to do so by the articles of incorporation or bylaws; or if the holders of at least ten percent (10%) of all the votes entitled to be cast on any issue proposed to be considered at the proposed special meeting sign, date, and deliver to the secretary of the corporation one or more written demands for the meeting describing the purpose or purposes for which it is to be held.
Regular board of directors’ meetings may be held with or without notice as prescribed in the bylaws. Special board of directors’ meetings shall be held upon such notice as is prescribed in the bylaws. Regular or special board of directors’ meetings may be held in or out of Arkansas.
