Incorporating in Idaho

IdahoFor complete and current information concerning Idaho corporations you should go to the Office of the Secretary of State web site. The following is not an attempt to present all you need to know when forming a corporation in Idaho but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

Idaho corporation name:

An Idaho corporation name must contain the word “corporation”, “incorporated”, “company”, or “limited”, or the abbreviation "corp.," "inc.," "co.," or "ltd.," or words or abbreviations of like import in another language; provided however, that if "company" or "co." is used it shall not be immediately preceded by the word "and" or by a symbol or an abbreviation representing the word "and". The name shall not contain language stating or implying government affiliation or that the corporation is organized for a purpose other than that permitted by Idaho law and its articles of incorporation. Except as may be permitted by Idaho law, a corporation’s name must be distinguishable from the names of any other entities organized or authorized to transact business in Idaho as well as names reserved or registered in accordance with the state’s laws.

Idaho corporation board of directors:

An Idaho corporation must have a board of directors consisting of one or more individuals, the number being specified in or fixed in accordance with the articles of incorporation or bylaws. A director need not be a resident of Idaho or a shareholder of the corporation unless so required by the articles of incorporation or bylaws. The articles of incorporation or bylaws may prescribe qualifications for directors.

Idaho corporation officers:

An Idaho corporation shall have the officers set forth in its bylaws or elected by the board of directors, in compliance with the bylaws. If authorized by the bylaws or the board of directors, an officer may appoint one or more officers. One of the officers shall have responsibility for preparing minutes of the meetings of directors and shareholders and for maintaining and authenticating records of the corporation required to be kept under Idaho law. One individual may simultaneously hold more than one office in the corporation.

Idaho corporation shareholders’ and directors’ meetings:

An Idaho corporation shall hold annual shareholders’ meetings at a time stated in, or fixed in accordance with, the bylaws. Annual shareholders' meetings may be held in or out of Idaho at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, annual shareholders’ meetings shall be held at the corporation's principal office. Special shareholders’ meetings shall be held on call of its board of directors or the person(s) authorized to do so by the articles of incorporation or bylaws; or, upon the demand of a sufficient number of shareholders as prescribed in Idaho law. Special shareholders' meetings may be held in or out of Idaho at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, special shareholders’ meetings shall be held at the corporation's principal office. In addition, Idaho law sets forth circumstances under which an Idaho district court can summarily order that a special shareholders’ meeting be held.

An Idaho corporation’s board of directors may hold regular or special meetings in or out of Idaho.
