attempt to present all you need to know when forming a corporation
in Indiana but rather to call your
attention to just some of the basic information and requirements
you may want to know as you submit information to form your
corporation.

Indiana corporation name:
The name of an Indiana corporation must contain the word "corporation", "incorporated", "company", or "limited", or an abbreviation thereof. The name must be distinguishable from the names of other businesses on the records of the Secretary of State's office and it cannot contain language that states or implies that the corporation is organized for any purpose other than that permitted by Indiana state law and its articles of incorporation.
Indiana corporation board of directors:
The board of directors of an Indiana corporation must consist of one or more individuals, with the number being specified in, or fixed in accordance with, the articles of incorporation or bylaws. Directors need not be residents of Indiana or shareholders of the corporation unless the articles of incorporation or bylaws so prescribe. The articles of incorporation or bylaws may prescribe qualifications for directors.
Indiana corporation officers:
An Indiana corporation has the officers described in its bylaws or elected or appointed by the board of directors in accordance with the bylaws or appointed by a duly elected or appointed officer in accordance with the bylaws. The corporation must have at least one officer. The corporation’s bylaws or board of directors shall delegate to one of the officers responsibility for preparing minutes of board of directors' and shareholders' meetings and for authenticating the corporation’s records. The same person may simultaneously hold more than one office in a corporation.
Indiana corporation shareholders’ and directors’ meetings:
An Indiana corporation must hold an annual shareholders’ meeting at a time stated in, or fixed in accordance with, the bylaws. Annual shareholders' meetings may be held in or out of Indiana at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, annual shareholders’ meetings shall be held at the principal office of the corporation. Special shareholders’ meetings must be held on call of the board of directors or the person(s) specifically authorized to do so by the corporation’s articles of incorporation or bylaws. Special shareholders’ meetings must also be held on demand of a specified percentage of the shareholders in accordance with Indiana law.
Regular and special meetings of the board of directors may be held in or out of Indiana.
