A Kansas corporation’s name must contain the word "corporation," "incorporated," "company", "limited, "association", “church”, “college”, “club”, “foundation”, “fund”, “institute”, “society”, “union”, or “syndicate” or an abbreviation thereof or words or abbreviations of like import in another language. Restrictions apply to the use of certain words and phrases in a corporation name. The name cannot contain language stating or implying that the corporation is organized for a purpose other than that permitted under Kansas state law. Except as may be authorized under state law, a corporate name must be distinguishable upon the records of the Kansas Secretary of State from other business entities’ names registered or reserved by the state.
Kansas corporation board of directors:
A Kansas corporation must have a board of directors consisting of one or more individuals. Directors must be natural persons and at least 18 years of age. The articles of incorporation or bylaws may prescribe additional qualifications for directors.
Kansas corporation officers:
A Kansas corporation shall have the offices described in its bylaws or designated by the board of directors in accordance with the bylaws. One of the officers shall have responsibility for preparing minutes of the meetings of directors and shareholders and for maintaining and authenticating the corporation’s records. One individual may simultaneously hold more than one office in the corporation.
