The following is not an attempt to present all you need to know when forming a corporation in New Mexico but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

New Mexico corporation name:
A New Mexico corporation name must contain the word "corporation," "incorporated," "company" or "limited," or an abbreviation thereof. The name cannot contain language stating or implying that the corporation is organized for a purpose other than contained in the articles of incorporation. A name cannot be the same as, or confusingly similar to, the name of other business entities’ names registered or reserved by the state.
New Mexico corporation board of directors:
A New Mexico corporation must have a board of directors consisting of one or more individuals. The articles of incorporation or bylaws may prescribe qualifications for directors who need not be residents of New Mexico or shareholders of the corporation unless the articles of incorporation or bylaws so prescribe.
New Mexico corporation officers:
A New Mexico corporation shall have officers with the titles, authority and duties described in its bylaws or designated by the board of directors in accordance with the bylaws. One of the officers shall have the responsibility for recording minutes of the meetings of directors and shareholders.
New Mexico corporation shareholders’ and directors’ meetings:
An annual shareholders’ meeting shall be held at the time designated in, or fixed in accordance with the, bylaws. If an annual shareholders’ meeting is not held within any thirteen month period, the district court may, on the application of any shareholder, order a meeting to be held. Special shareholders’ meetings may be called by the board of directors, the holders of at least ten percent of all the shares entitled to vote at the meeting or such other persons as may be authorized in the corporation’s articles of incorporation or bylaws. Shareholders’ meetings may be held at any place in or out of New Mexico as designated in, or fixed in accordance with, the bylaws. If no other place is designated in, or fixed in accordance with, the bylaws, shareholders’ meetings shall be held at the corporation’s principal place of business
Regular or special board of directors’ meetings may be held at any place in or out of New Mexico.
