The following is not an attempt to present all you need to
know when forming a corporation in Ohio but rather to call
your attention to just some of the basic information and
requirements you may want to know as you submit information
to form your corporation.
The information herein is cited from the Ohio Secretary of State web site and Ohio’s General Corporation Law. Ohio corporation name:
An Ohio corporation’s name shall contain the word “corporation”, “company”, or “incorporated”, or an abbreviation thereof. The name must be distinguishable upon the records in the office of the secretary of state from other business entities’ names registered or reserved in accordance with Ohio law. Nothing in the name shall indicate or imply that the corporation is formed for any purpose other than those permitted by state law and the corporation’s articles of incorporation.
Ohio corporation board of directors:
An Ohio corporation with three or more shareholders must have at least three directors while those corporations with fewer than three shareholders need have only at least as many directors as shareholders. The number of directors and qualifications for directors, if any, shall be fixed by the articles or the regulations
Ohio corporation officers:
The officers of an Ohio corporation shall be elected by the board of directors and shall consist of a president, secretary, treasurer, chairman of the board if desired, one or more vice-presidents, and such other officers and assistant officers as deemed necessary. The officers shall be elected by the directors. Unless the articles or the regulations otherwise provide, the chairman of the board shall be a director. The same person may simultaneously hold more than one office.
Ohio corporation shareholders’ and directors’ meetings:
An annual shareholders’ meeting for the election of directors and consideration of reports to be presented shall be held on a date designated by, or in the manner specified in, the articles or in the regulations. In the absence of such designation, the annual shareholders’ meeting shall be held on the first Monday of the fourth month following the close of each fiscal year of the corporation. Shareholders’ meetings may be held at any place within or without Ohio if so provided in the articles or the regulations.
Board of directors’ meetings may be called by the chairperson of the board, the president, any vice-president, or any two directors. Board of directors’ meetings may be held at any place within or without Ohio.
