Oklahoma corporation name:
An Oklahoma corporation’s name must contain the word "incorporated", "corporation", "company", "limited", “association”, “club”, “foundation”, “fund”, “institute”, “society”, “union”, or “ syndicate”, or an abbreviation thereof, or if it is a banking corporation, the word “bank”, “banking”, or bankers”. Subject to certain exceptions, the name cannot be the same as, or deceptively similar to, the names of any other entities organized or authorized to transact business in Oklahoma as well as names reserved or registered in accordance with the state’s laws. The name cannot contain language that states or implies it is another business entity or that the corporation is organized for a purpose other than that permitted by its certificate of incorporation.
Oklahoma corporation board of directors:
An Oklahoma corporation shall have one or more directors. There are no required qualifications for directors other than those as may be prescribed in the certificate of incorporation or bylaws.
Oklahoma corporation officers:
An Oklahoma corporation shall have the officers listed in its bylaws or elected by the board of directors in accordance with the bylaws. One officer shall be given the responsibility for preparing minutes of shareholders' meetings and directors’ meetings. The same person may simultaneously hold more than one office in an Oklahoma corporation unless the certificate of incorporation or bylaws provide otherwise.
