attempt to present all you need to know when forming a corporation
in Washington but rather to call your attention to just some
of the basic information and requirements you may want to
know as you submit information to form your corporation.
The information herein is cited from the Washington Secretary of State web site and the Washington State Legislature web site. Washington corporation name:
The state of Washington requires that a corporation’s name contain the word "corporation”, "incorporated”, "company”, or "limited”, or an abbreviation thereof. The name cannot be the same or so similar that it is likely to be mistaken for any other business entities’ names registered or reserved in accordance with the state’s laws. Neither can the name contain language that states or implies the corporation is organized for a purpose other than that permitted by Washington law and its articles of incorporation.
Washington corporation board of directors:
The board of directors of a Washington corporation must consist of one or more individuals, the number being specified in, or fixed in accordance with, the articles of incorporation or bylaws. Directors need not be residents of Washington or shareholders of the corporation unless required by the articles of incorporation or bylaws, either of which may set forth other qualifications.
Washington corporation officers:
A Washington corporation is to have the officers described in its bylaws or appointed by its board of directors in accordance with the bylaws. If authorized by the bylaws or the board of directors, a duly appointed officer may appoint one or more officers or assistant officers. The bylaws or the board of directors shall make one of the officers responsible for preparing minutes of the board of directors' and shareholders' meetings and for authenticating the corporation’s records. One person may simultaneously hold more than one office in a corporation.
Washington corporation shareholders’ and directors’ meetings:
Other than as provided by state law, an annual shareholders’ meeting shall be held for the election of directors at a time stated in, or fixed in accordance with, the bylaws. Special shareholders’ meetings shall be held on call of the board of directors or the person(s) authorized to do so by the corporation’s articles of incorporation or bylaws. Under certain circumstances, special shareholders’ meetings may be held upon the demand of a specified percentage of the shareholders in accordance with provisions outlined in state law.
Regular or special board of directors’ meetings may be held in or out of Washington.
