The following is not an attempt to present all you need to know when forming a corporation in Wyoming but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

Wyoming corporation name:
A Wyoming corporation’s name cannot contain language stating or implying that the corporation is organized for a purpose other than that permitted by Wyoming law and its articles of incorporation. Other than as may be authorized by Wyoming law, a corporation’s name cannot be identical to, or deceptively similar to, any trademark or service mark registered in Wyoming and it must be distinguishable upon the records of the secretary of state from any other entity on file or reserved with the secretary of state.
Wyoming corporation board of directors:
A Wyoming corporation shall have a board of directors consisting of one or more individuals with the number being specified in, or fixed in accordance with, the articles of incorporation or bylaws. Directors need not be residents of Wyoming or shareholders of the corporation unless required by the articles of incorporation or bylaws. The articles of incorporation or bylaws may prescribe qualifications for directors.
Wyoming corporation officers:
A Wyoming corporation shall have the officers described in its bylaws or appointed by the board of directors in accordance with the bylaws. If authorized by the bylaws or the board of directors, a duly appointed officer may appoint one or more officers or assistant officers. The bylaws or the board of directors shall delegate to one of the officers responsibility for preparing minutes of the meetings of directors and shareholders and for authenticating the corporation’s records. One individual may simultaneously hold more than one office.
Wyoming corporation shareholders’ and directors’ meetings:
Wyoming corporation shareholders’ meetings shall be held annually at a time stated in, or fixed in accordance with, the bylaws. Annual shareholders' meetings may be held in or out of Wyoming at the place stated in, or fixed in accordance, with the bylaws. If no place is stated in, or fixed in accordance with the bylaws, annual shareholders’ meetings shall be held at the principal office of the corporation.
Special shareholders’ meeting shall be held on call of the board of directors or the person(s) authorized to do so by the articles of incorporation or bylaws; or by written demand of a sufficient number of shareholders as provided for under Wyoming law. In addition, Wyoming law sets forth certain conditions under which the district court of the county where a corporation's principal office, or if none in this state its registered office, is located may summarily order that a meeting be held. Special shareholders' meetings may be held in or out of Wyoming at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, special shareholders’ meetings shall be held at the principal office of the corporation.
Regular or special board of directors’ meetings may be held in or out of Wyoming. Unless otherwise provided in the articles of incorporation or bylaws, any or all of the directors can participate in meetings by using any means of communication, including electronic transmission, which allows all directors participating to communicate with each other during the meeting.
