MaxFilings Partner/Affiliate Agreement

This Agreement sets forth the terms and conditions that apply to the MaxFilings Partner/Affiliate Program. In the Agreement, "you" and "your" refer to the Partner/Affiliate while "we" and "our" refer to MaxFilings, Inc. It is understood and agreed that we will, in our sole discretion, determine whether to accept or reject you as a Partner/Affiliate. By accepting this Agreement online, you acknowledge you have read and understand its terms and conditions, that it constitutes a valid and binding obligation, and that you agree to be bound by all of the terms and conditions herein.

Customer Identification. We will identify and track customers referred to us by you. Notwithstanding the fact that you or we could, from time to time, refer to someone coming to our web site from you as “your customer”, it is understood and agreed that all such parties purchasing our services are in fact customers of MaxFilings, Inc. and that they will be provided our services subject to prices, procedures and policies set by us. We reserve the right to reject or cancel any customer’s order.

Independent Parties. You and we are independent of one another and neither has the authority to bind the other or to otherwise act in any way as the other’s representative. Nothing herein creates an employment relationship of any kind.

Commissions.We will pay you commissions on Qualified Orders. A Qualified Order is a paid order (accepted by us) for the following services for a customer referred to us by you. Commissions due you will be adjusted to reflect any refunds or charge backs of any of your Qualified Orders. Commissions will be as follows:

"Basic" business formation package = $25.00

"Standard" business formation package = $50.00

"Max" business formation package = $75.00

Registered Agent Service = $15.00

Commissions are due and payable within 30 days after the end each month provided total commissions due equal or exceed $100. Any unpaid commissions will be carried forward. In the event this Agreement is terminated and there are unpaid commissions of less than $100 as of said termination, said commissions will be canceled and not paid. You agree to provide us with a completed W-9 Form at our request.

Your Rights. Only for so long as this Agreement is in force, we grant you a non-exclusive, non-transferable license to use our logos, trade names, trademarks and/or other identifying materials (as approved by us) for the sole purpose of selling MaxFilings’ services. We also grant you a non-exclusive, non-transferable right to maintain links (as approved by us) to MaxFilings’ websites for the purpose of directing customers to our services/products.

Obligations. You and we agree to comply with all applicable laws and regulations as well as normally accepted industry standards. You agree to indemnify and hold harmless MaxFilings, Inc. and its directors, officers, employees, agents and shareholders against any loss, liability, damage or expense that we may sustain by reason of any action or inaction by you.

Disclaimer. It is understood and agreed that MaxFilings provides document preparation and business formation services based on information provided by its customers and is not a law firm. Neither MaxFilings nor any of its employees provide legal services or advice; therefore our customers are representing themselves in any legal matters undertaken in connection with our services. Information provided by us is for education and information purposes only and we do not guarantee that all such information is correct or current. We make no guarantees or warranties and expressly disclaim any and all representations or warranties with respect to services to you and/or customers you refer to us under the Agreement and in no event shall MaxFilings or any of its directors, officers, employees, agents and shareholders be liable for consequential, incidental or special damages of any kind.

This Agreement. The term of this Agreement shall commence on the date we accept you as a Partner/Affiliate in the MaxFilings Partner/Affiliate Program and continue until terminated by either party. We can, in our sole discretion, modify terms of this Agreement, by posting updates to the MaxFilings Partner/Affiliate Agreement document which is maintained on our website. In such event, you indicate your acceptance of any such modification by continuing as a Partner/Affiliate. Either you or we can terminate this Agreement at any time, for any reason, by giving the other party written notice of termination.

Failure of either party to enforce any provision hereof will in no way affect the right to require performance of any provision at any time thereafter, nor will the waiver by either party of a breach of any provision constitute a waiver of any succeeding breach of the same or other provision.

Neither party can assign its interest in or rights under this Agreement without the written consent of the other, which consent will not be unreasonably withheld. This Agreement constitutes the entire agreement between the parties and may not be changed in any manner, except as provided herein, other than by written amendment. Should any provision of this Agreement be found void or unenforceable, all remaining provisions shall remain in full force and effect.

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida and the parties agree that jurisdiction and venue for any matter pertaining to this Agreement shall be proper only in the state and federal courts located in the State of Florida.

All notices under this Agreement, when sent by you, shall be in writing and sent by U. S. mail, return receipt requested, to MaxFilings, Inc., 4644 W. Gandy Blvd., Suite 4-444, Tampa, FL 33611 and when sent by MaxFilings, shall be by email addressed to the email address provided by you.
