attempt to present all you need to know when forming a corporation
in Arizona but rather to call your
attention to just some of the basic information and requirements
you may want to know as you submit information to form your
corporation.

Arizona corporation name:
An Arizona corporation’s name shall contain the word "Association", "Company", "Corporation", "Limited" or "Incorporated" or an abbreviation thereof. The name shall be distinguishable from any other business entities’ names registered or reserved in accordance with the state’s laws. A corporation’s name cannot contain certain words restricted by Arizona law or language that states or implies the corporation is organized for a purpose other than that permitted by Arizona law and its articles of incorporation.
Arizona corporation board of directors:
An Arizona corporation’s board of directors shall consist of one or more individuals, with the number specified in, or fixed in accordance with, the articles of incorporation or bylaws. Directors do not have to residents of Arizona or shareholders of the corporation unless required by the corporation’s articles of incorporation or bylaws. Qualifications for directors may be set forth in the articles of incorporation or bylaws.
Arizona corporation officers:
An Arizona corporation shall have the officers described in its bylaws or appointed by the board of directors in accordance with the bylaws. If authorized by the bylaws or the board of directors, a duly appointed officer may appoint one or more officers or assistant officers. The corporation’s bylaws or board of directors shall delegate to one of the officers responsibility for preparing minutes of the directors' and shareholders' meetings and for authenticating the corporation’s records. The same person may simultaneously hold more than one office in a corporation.
Arizona corporation shareholders’ and directors’ meetings:
An annual shareholders’ meeting shall be held at a time stated in, or fixed in accordance with, the corporation’s bylaws. Special shareholders’ meetings shall be held on call of the board of directors or the person(s) authorized to do so by the articles of incorporation or bylaws or as otherwise provided for under Arizona law. Shareholders' meetings may be held in or out of Arizona at the place stated in, or fixed in accordance with, the bylaws.
Regular or special board of directors’ meetings may be held in or out of Arizona.
Arizona publication requirements:
Arizona requires that the filed Articles of Incorporation be published in a newspaper of general circulation where the corporation’s principal place of business is located. Proof of such publication must be submitted to the state.
