Incorporating in Colorado

For complete and current information concerning Colorado corporations you should go to Colorado Secretary of State web site. The following is not an attempt to present all you need to know when forming a corporation in Colorado  but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

The information herein is cited from the Colorado Secretary of State web site and Colorado statutes. Colorado corporation name:

A Colorado corporation’s name must contain the word "corporation", "incorporated", "company" or "limited" or an abbreviation thereof. Subject to certain exceptions, the name must be distinguishable from the names of any other entities organized or authorized to transact business in Colorado as well as names reserved or registered in accordance with the state’s laws. Colorado restricts the use of certain words and phrases in a corporation’s name.

Colorado corporation board of directors:

A Colorado corporation’s board of directors shall consist of one or more persons who must be at least 18 years of age. Directors need not be residents of Colorado or shareholders of the corporation unless the bylaws so prescribe. Additional qualifications may be prescribed in the corporation’s bylaws.

Colorado corporation officers:

A Colorado corporation shall have the officers (who must be at east 18 years of age) designated in its bylaws or appointed by its board of directors or in such other manner as the board of directors or bylaws provide. If authorized by the bylaws or the board of directors, a duly appointed officer may appoint one or more officers or assistant officers. One or more of the officers shall have the responsibility of preparing minutes of the shareholders’ and directors' meetings and other records and information required to be kept by the corporation and for authenticating records of the corporation. The same person may simultaneously hold more than one office.

Colorado corporation shareholders’ and directors’ meetings:

A Colorado corporation shall hold annual shareholders’ meetings at a time and date stated in, or fixed in accordance with, the bylaws or if not so stated or fixed, at a time and date stated in, or fixed in accordance with, a resolution of the board of directors. Annual shareholders' meetings may be held in or out of Colorado at the place stated in, or fixed in accordance with, the bylaws or if not so stated or fixed, at a place stated in or fixed in accordance with a resolution of the board of directors. If no place is so stated or fixed, annual shareholders’ meetings shall be held at the corporation's principal office.

Special shareholders meetings shall be held on call of the board of directors or the person(s) authorized by the bylaws or a resolution of the board of directors to call such a meeting; or if the corporation receives one or more written demands for the meeting, stating the purpose(s) for which it is to be held, signed and dated by the holders of shares representing at least 10% of the votes entitled to be cast on any issue proposed to be considered at the meeting. Special shareholders' meetings may be held in or out of Colorado at the place stated in, or fixed in accordance with, the bylaws or if not so stated or fixed, at a place stated in or fixed in accordance with a resolution of the board of directors. If no place is so stated or fixed, annual shareholders’ meetings shall be held at the corporation's principal office.

The board of directors may hold regular or special meetings in or out of Colorado.
