The following is not an attempt to present all you need to know when forming a corporation in Maine but rather to call your attention to just some of the basic information and requirements you may want to know as you submit information to form your corporation.

Maine corporation name:
A Maine corporation’s name must be distinguishable from all other entities’ names registered or reserved in accordance with Maine law and the name cannot contain language stating or implying the corporation is organized for any purpose other than those permitted by Maine law and its articles of incorporation.
Maine corporation board of directors:
A Maine corporation must have a board of directors consisting of one or more individuals, the number being specified in or fixed in accordance with the articles of incorporation or bylaws. A director need not be a resident of Maine or a shareholder of the corporation unless so required by the articles of incorporation or bylaws. The articles of incorporation or bylaws may prescribe qualifications for directors.
Maine corporation officers:
A Maine corporation shall have the officers set forth in its bylaws or designated by the board of directors, in compliance with the bylaws. The board of directors may elect officers and, if authorized by the bylaws or the board of directors, an officer may appoint one or more officers. The corporation’s bylaws or the board of directors shall assign to one of the officers the responsibility for preparing minutes of the meetings of directors and shareholders and for maintaining and authenticating records of the corporation required to be kept under Maine law.
Maine corporation shareholders’ and directors’ meetings:
A Maine corporation shall hold annual shareholders’ meetings at a time stated in, or fixed in accordance with, the bylaws. Annual shareholders' meetings may be held in or out of Maine at the place stated in, or fixed in accordance with, the bylaws. If no place is stated in, or fixed in accordance with, the bylaws, annual shareholders’ meetings shall be held at the corporation's principal office. Special shareholders’ meetings shall be held on call of its board of directors or the person(s) authorized to do so by the articles of incorporation or bylaws; or, upon the demand of a sufficient number of shareholders as prescribed in Maine law. In addition, Maine law sets forth circumstances under which a Maine Superior Court can summarily order that a special shareholders’ meeting be held.
A Maine corporation’s board of directors may hold regular or special meetings in or out of Maine.
